RETAIL PRICING POLICY

As of August 1st, 2018, all current FLO~PRO diesel exhaust kits will be subject to a minimum RPP amount. This policy sets forth the minimum price that FLO~PRO diesel exhaust systems and EGR kits can be sold or advertised for in the Canada. All Canadian retailers, jobbers, dealers, and wholesale distributors (resellers) are subject to this policy when selling to the end retail user. PLEASE READ IT CAREFULLY!



RETAIL PRICING POLICY GUIDELINES

- RPP identifies the MINIMUM price allowed for advertisement or sale of the products included in the policy.

- All FLO~PRO diesel exhaust systems and race pipe kits are subject to this policy.

- No Reseller, Jobber, Dealer, or Distributor, shall advertise, sell, or offer any FLO~PRO Diesel Exhaust Systems below the minimum RPP to a retail customer/end user.

- This policy also applies to walk-ins, phone orders, online conversations, instant messages or any instance where a price is written, verbally or electronically offered.

- Instant rebates, coupons, or other methods that would net the customer a sale price of less than the RPP is considered a violation of the FLO~PRO RPP.

- Free shipping or free installation is acceptable and is not a violation of FLO~PRO RPP.

- Auction-type sales are not permitted unless the starting price of the auction is at or above the RPP of the listed item. Buy-It-Now type auctions are acceptable so long as the item is only available for purchase at or above the RPP of the listed item.

- Combining any FLO~PRO products in a kit or bundle for less than RPP is NOT ALLOWED.

VIOLATION PROTOCOL

If and when a violation occurs, please contact our pricing department by email pricing@flopro.com with the particulars of the violation. Depending on the severity and frequency of the violations, different actions will be taken. Initially, the violator will be notified by FLO~PRO and will be given 48 hours' notice to comply. Although each reseller is free to choose whether or not to comply with the FLO~PRO RPP, violation of the FLO~PRO RPP will result in all pending orders being canceled, and no future orders will be accepted from the violating company. FLO~PRO will actively and uniformly enforce this policy, and any reseller actions deemed to be in violation of the policy will result in loss of reseller status with FLO~PRO. Loss of reseller status will include loss of permission to use any FLO~PRO copyrighted material including, but not limited to, marketing material, images, product descriptions, and FLO~PRO company information. Violating resellers will also be placed on a DO NOT SELL LIST which will be sent to any and all distributors.

FLO~PRO takes great pride in the quality and performance of its products, as well as offering its resellers and end-users the best customer service in the industry. This policy is designed and intended to maintain the integrity and profitability of FLO~PRO products, so that we can continue to provide our customers the highest level of quality parts and service.

No written or verbal acceptance is being sought by FLO~PRO to accept the terms of this policy. Each individual reseller can either, choose to comply or to not comply with this policy. Non-compliance will result in termination of business relationship between the reseller and FLO~PRO. This FLO~PRO RPP does not constitute an agreement or contract between FLO~PRO and any of its resellers. This policy is non-negotiable.
